You must be a licensed healthcare provider or an authorized representative of a healthcare organization to use the Service. You represent and warrant that you have the legal authority to enter into these Terms and to use the Service in accordance with all applicable laws and regulations.
We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or failure to pay fees.
Access to certain features of the Service requires payment of subscription fees. You agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise specified in writing.
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fees.
We reserve the right to modify our pricing at any time. Price changes will take effect at the start of your next billing cycle after we provide at least 30 days' notice.
All fees are exclusive of applicable taxes, which you are responsible for paying. We will add applicable taxes to your invoice where required by law.
Umami TLabs is designed to be HIPAA compliant. As a Business Associate, we implement appropriate administrative, physical, and technical safeguards to protect Protected Health Information (PHI). A Business Associate Agreement (BAA) is available upon request for all covered entities.
You retain all rights, title, and interest in and to your data, including all patient information, medical records, and other content you submit to the Service ("Customer Data"). We do not claim ownership of Customer Data.
We will use Customer Data only to provide and improve the Service, and in accordance with our Privacy Policy. We implement industry-standard security measures to protect Customer Data, including:
In the event of a data breach affecting Customer Data, we will notify you without unreasonable delay and no later than required by applicable law, including HIPAA breach notification requirements.
You may export your Customer Data at any time using our data export tools. Upon termination of your account, we will retain Customer Data for 90 days to allow for retrieval, after which it will be permanently deleted unless otherwise required by law.

The Service, including all software, designs, text, graphics, logos, and other content (excluding Customer Data), is owned by Umami TLabs and its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or obligation to you.
We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance and circumstances beyond our reasonable control. Scheduled maintenance will be performed during off-peak hours whenever possible, with advance notice provided.
We provide 24/7 technical support for critical issues. Support response times vary based on your subscription level. Non-critical support is available during business hours.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Umami TLabs is a practice management tool and does not provide medical advice, diagnosis, or treatment. The Service, including AI-assisted features, is designed to support—not replace—the professional judgment of qualified healthcare providers. You are solely responsible for all medical decisions and patient care.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMAMI TLABS, ITS AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
You agree to indemnify, defend, and hold harmless Umami TLabs, Greyquill, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.
We may suspend or terminate your access to the Service immediately, without prior notice, for:
Upon termination, your right to use the Service will immediately cease. We will provide you with a reasonable opportunity (not less than 30 days) to export your Customer Data before permanent deletion.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription in accordance with Section 11.1.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies.
You agree to submit to the exclusive jurisdiction of the courts located in Bangalore, India for the resolution of any disputes.
These Terms, together with our Privacy Policy and any other agreements you enter into with us, constitute the entire agreement between you and Umami TLabs regarding the Service.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under these Terms without our written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, pandemics, natural disasters, or failures of third-party services.
